关键记忆口诀: - I(C) = "不能抄" - I(D) = "别做混蛋" - II(A) = "M&N"(重大且非公开) - II(B) = "B代表坏行为"
Standard I(B) —

📘 CFA Lesson 004 — Ethics: Standard I(B) Independence & Objectivity
Source: CFA Level I 2026 Curriculum, Ethics and Professional Standards Date: 2026-05-08 Language: English
📖 Core Concepts
Standard I(B): Independence and Objectivity
Members and Candidates must use reasonable care and judgment to achieve and maintain independence and objectivity in their professional activities. They must not offer, solicit, or accept any gift, benefit, compensation, or consideration that reasonably could be expected to compromise their own or another's independence and objectivity.
Key Applications
1. Gifts from Clients
| Gift Type | Ruling |
|---|---|
| Modest token gifts (e.g., holiday basket ≤$200) | ✅ Acceptable — disclose to employer |
| Expensive gifts (luxury items, large cash equivalents) | ❌ Prohibited — compromises independence |
| Entertainment (modest meals, sporting events) | ⚠️ Acceptable if not intended to influence — disclose |
| Lavish trips or accommodations | ❌ Violation |
Golden Rule: Would accepting this gift APPEAR to impair my objectivity to a reasonable observer?
2. Issuer-Paid Research
Analysts may produce research paid for by the company being analyzed, BUT:
- ✅ Allowed IF: Full disclosure of the compensation arrangement
- ❌ Prohibited: Compensation tied to the conclusion or rating
- ❌ Prohibited: Promising favorable coverage in exchange for business
- ⚠️ Must disclose: The nature of the issuer-paid relationship prominently
3. Rating Agency Independence
Credit rating agencies face unique conflicts: - Often paid by the entities they rate (issuer-pays model) - Must maintain firewalls between rating analysts and business development - Analyst compensation cannot be linked to revenue from rated entities - Ratings must reflect genuine credit assessment, not commercial relationships
4. Investment Banking & Research Conflicts
Typical conflict scenario: - A firm's investment banking division seeks underwriting business from a company - The research division covers the same company - Pressure may arise for favorable research to win banking business
Required safeguards: - Physical and reporting separation (Chinese walls) - Research analyst compensation NOT linked to IB revenue - Disclosure of any investment banking relationships - Quiet periods after IPOs/secondary offerings
5. Pressure from Issuers or Clients
What to do when pressured:
| Situation | Response |
|---|---|
| Issuer threatens to withdraw business over negative rating | Continue independent analysis; escalate internally |
| Client demands favorable report | Refuse; explain independence requirements |
| Internal pressure from sales/IB teams | Escalate to compliance; protect analytical independence |
| Public criticism of a negative call | Stand by well-supported analysis; document rationale |
6. The Appearance Standard
Key principle: Independence is not just about ACTUAL bias — it's about the appearance of bias.
You must not only BE independent — you must LOOK independent.
A reasonable investor, knowing all the facts, should conclude your analysis is unbiased.
